Corporate Counsel Position Summary
The Corporate Counsel role will provide legal guidance and support across all areas of the Company’s operations. This position serves as the primary internal legal resource for the organization and is responsible for managing legal matters involving contracts, litigation, collections, compliance, employment matters, risk management, and general corporate counsel functions.

Corporate Counsel Key Responsibilities
Draft, review, revise, and negotiate a wide variety of commercial agreements, including customer and supplier contracts, purchase agreements, service agreements, non-disclosure agreements (NDAs), vendor agreements, transportation and logistics agreements, equipment and lease agreements
Advise management regarding contractual rights, obligations, risks, and dispute resolution.
Maintain and manage contract templates and legal documentation processes.
Manage and oversee litigation matters involving the Company, including coordination with outside counsel when necessary.
Handle pre-litigation disputes, claims, demand letters, and settlement negotiations.
Assist with responses to subpoenas, legal notices, administrative complaints, and regulatory inquiries.
Conduct internal investigations related to legal or compliance concerns.
Prepare and review payment agreements, liens, and related legal documentation.
Provide legal guidance regarding compliance with applicable federal, state, and local laws and regulations.
Support compliance efforts related to manufacturing, environmental, safety, labor, employment, and commercial operations.
Assist with development, implementation, and review of Company policies and procedures.
Monitor legal developments impacting the metals and manufacturing industries.
Advise Human Resources and management regarding employment law matters as needed.
Identify and assess legal and operational risks affecting the Company.
Provide practical legal guidance to support business operations and strategic decision-making.
Assist with insurance claims, risk mitigation, and loss prevention efforts.
Serve as a trusted advisor to executive leadership on legal and business matters.
Coordinate with external legal counsel, insurers, auditors, and government agencies as needed.
Corporate Counsel Qualifications/Requirements
Required Qualifications
Juris Doctor (J.D.) degree from an accredited law school required.
Active license to practice law in Florida.
Minimum of 5-7 years of relevant legal experience preferred, including corporate, commercial, manufacturing, or litigation experience.
Strong knowledge of commercial contracts, business litigation, corporate governance, regulatory compliance.
Excellent negotiation, communication, and organizational skills.
Ability to manage multiple priorities and work independently.
Strong business judgment and practical problem-solving abilities.
Preferred Qualifications
Prior in-house counsel experience preferred.
Experience in manufacturing, metals, industrial, or construction-related industries preferred.
Physical Requirements and Work Environment
Primarily office-based work environment.
Occasional travel may be required for meetings, legal proceedings, negotiations, or Company operations.
Ability to sit, stand, and work at a computer for extended periods.
